You may have an opportunity to enter into a SAFT in the future and so, in case\u00a0helpful, we have prepared a brief summary of 5 top tips before entering into a SAFT.<\/span><\/div>\n<div><\/div>\n<\/div>\n<h2><\/h2>\n<h2><strong><span dir=\"ltr\" role=\"presentation\">1.\u00a0 Governing Law &amp; Jurisdiction:<\/span><\/strong><\/h2>\n<ul>\n<li><span dir=\"ltr\" role=\"presentation\">These clauses are often included towards the end of the SAFT and they are <\/span><span dir=\"ltr\" role=\"presentation\">important as ideally you should obtain advice from a lawyer qualified in the <\/span><span dir=\"ltr\" role=\"presentation\">applicable law &amp; jurisdiction (assuming it is cost-effective to do so).<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Sellers tend to base the governing law and jurisdiction on either the country <\/span><span dir=\"ltr\" role=\"presentation\">of the Seller\u2019s incorporation\/registration or a legal system or jurisdiction that <\/span><span dir=\"ltr\" role=\"presentation\">may otherwise suit the Seller (for example one that is crypto or token <\/span><span dir=\"ltr\" role=\"presentation\">friendly for regulatory or tax reasons).<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Some jurisdictions already have specific regulatory regimes in place for <\/span><span dir=\"ltr\" role=\"presentation\">Virtual Asset Service Providers (VASPs) (e.g. Switzerland, Hong Kong &amp; <\/span><span dir=\"ltr\" role=\"presentation\">Singapore) and other jurisdictions appear to be taking a \u201c<\/span><span dir=\"ltr\" role=\"presentation\">wait and see<\/span><span dir=\"ltr\" role=\"presentation\">\u201d <\/span><span dir=\"ltr\" role=\"presentation\">approach and no specific legislation or regulation has been enacted yet, <\/span><span dir=\"ltr\" role=\"presentation\">though some is expected in the near future and so the position should be <\/span><span dir=\"ltr\" role=\"presentation\">monitored (e.g. British Virgin Islands &amp; Panama).<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">If you ever need to sue or enforce your rights under the SAFT, then you will <\/span><span dir=\"ltr\" role=\"presentation\">probably need to do so in the courts of that country\/jurisdiction, which may <\/span><span dir=\"ltr\" role=\"presentation\">even involve flying to that country and attending court hearings yourself in <\/span><span dir=\"ltr\" role=\"presentation\">person.<\/span><\/li>\n<\/ul>\n<h2>2.\u00a0 Vesting Schedule:<\/h2>\n<ul>\n<li><span dir=\"ltr\" role=\"presentation\">Typically, Sellers will want this to be quite long &amp; buyers will want their <\/span><span dir=\"ltr\" role=\"presentation\">tokens to vest asap.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">You may be able to negotiate a cliff into your vesting schedule so that, for <\/span><span dir=\"ltr\" role=\"presentation\">example you wait 6 months for the first tranche of your tokens, but then you <\/span><span dir=\"ltr\" role=\"presentation\">receive 6 months\u2019 worth of tokens.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Vesting schedules can, and do, vary but they are typically between 2 and 4 <\/span><span dir=\"ltr\" role=\"presentation\">years.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Ideally, they should not be &gt; 4 years as this equates to a full market cycle.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">If the vesting schedule is &lt; 2 years then, although this may at first seem <\/span><span dir=\"ltr\" role=\"presentation\">great for the investor, this can create a lot of \u201csell pressure\u201d on the token at <\/span><span dir=\"ltr\" role=\"presentation\">launch, which can adversely impact the price.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">If your tokens are subject to monthly vesting over a 4 year period, for <\/span><span dir=\"ltr\" role=\"presentation\">example then you may need to manually claim those tokens every month for <\/span><span dir=\"ltr\" role=\"presentation\">48 months, so again you need to check this and how to do so and maybe set <\/span><span dir=\"ltr\" role=\"presentation\">reminders to do so each month.<\/span><\/li>\n<\/ul>\n<h2><strong>3. Long Stop Date:<\/strong><\/h2>\n<ul>\n<li><span dir=\"ltr\" role=\"presentation\">While you may be prepared to wait a while when you enter into the SAFT, <\/span><span dir=\"ltr\" role=\"presentation\">you may feel differently after a few months or even years of waiting.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Check the SAFT for any long stop date so that if, for example, the token <\/span><span dir=\"ltr\" role=\"presentation\">generation event (e.g. the ICO or IDO) has not happened by, for example 1 <\/span><span dir=\"ltr\" role=\"presentation\">year or 2 years after the date of your SAFT, then you are entitled to demand <\/span><span dir=\"ltr\" role=\"presentation\">a full refund of your $.<\/span><\/li>\n<\/ul>\n<h2><strong>4. Representations &amp; Warranties:<\/strong><\/h2>\n<ul>\n<li><span dir=\"ltr\" role=\"presentation\">Seller reps and warranties \u2013 the Seller may try to limit these and even if the <\/span><span dir=\"ltr\" role=\"presentation\">Seller is at an early stage, it should still be able to provide some reps &amp; <\/span><span dir=\"ltr\" role=\"presentation\">warranties on items such as the Seller (i) being solvent, (ii) not being <\/span><span dir=\"ltr\" role=\"presentation\">engaged in any material ongoing or threatened litigation or disputes, and (iii) <\/span><span dir=\"ltr\" role=\"presentation\">complying with applicable AML laws.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Buyer reps and warranties \u2013 these should be limited to the Buyer\u2019s capacity <\/span><span dir=\"ltr\" role=\"presentation\">to enter into the SAFT and AML related items.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">Ensure that these are balanced for both parties and ensure that you are <\/span><span dir=\"ltr\" role=\"presentation\">comfortable with every single word of all the reps and warranties, as these <\/span><span dir=\"ltr\" role=\"presentation\">could cost you $ in the future!<\/span><\/li>\n<\/ul>\n<div class=\"p-pdf_iframe__page\" aria-label=\"Page 2\" data-page-number=\"2\">\n<h2 class=\"textLayer\"><strong>5.\u00a0 Indemnities and Liability Caps:<\/strong><\/h2>\n<ul>\n<li><span dir=\"ltr\" role=\"presentation\">As a buyer, you should really try to resist providing any material indemnities.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">If the SAFT contains any indemnities, then you should ensure that (i) these <\/span><span dir=\"ltr\" role=\"presentation\">are relatively balanced (so if the Buyer is asked to provide some AML <\/span><span dir=\"ltr\" role=\"presentation\">indemnities, then the Seller should also perhaps do so) and (ii) you are 100% <\/span><span dir=\"ltr\" role=\"presentation\">comfortable with any indemnities you provide.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">As indemnities, reps and warranties can potentially result in considerable <\/span><span dir=\"ltr\" role=\"presentation\">liabilities, then it is vital to ensure that there is an appropriate cap on your <\/span><span dir=\"ltr\" role=\"presentation\">liability in the SAFT.<\/span><\/li>\n<li><span dir=\"ltr\" role=\"presentation\">This may be limited to the total amount you are providing under the SAFT or <\/span><span dir=\"ltr\" role=\"presentation\">an appropriate % of it (e.g. 50%).
